These Terms of Service (“Terms”) govern your use of the ClockinSync Chrome extension and the website www.clockinsync.com (collectively, the “Service”), operated by ClockinSync (“we,” “our,” or “us”).

By installing the extension, creating an account, or using our website, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ClockinSync is a browser extension and associated web service that provides world clock management, timezone conversion, page-level timezone annotations, reminders, and optional cross-device cloud synchronization. The Service includes both free and paid plans with different feature limits.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Anonymous Use

You may use the ClockinSync extension without creating an account. Anonymous use is subject to the Free plan feature limits.

3.2 Google Sign-In

To access account features, cloud sync, and plan upgrades, you may sign in with your Google account. You are responsible for maintaining the security of your Google account credentials. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Accuracy

You agree that the information associated with your account (provided via Google sign-in) is accurate. We are not responsible for issues arising from inaccurate account information.

4. Plans and Pricing

4.1 Free Plan

The Free plan provides access to core features with usage limits. These limits include, but are not limited to, the number of active timezones, clock profiles, reminders, and weekly usage of certain features. Free plan limits are subject to change at our discretion.

4.2 Lifetime Plan

The Lifetime plan is a one-time purchase that unlocks expanded or unlimited feature access. The specific features and limits included in the Lifetime plan are described on our pricing page and within the extension. “Lifetime” refers to the lifetime of the product, not the lifetime of the purchaser.

4.3 Free Trials

We may offer free trials of paid plans at our discretion. Trial duration and terms will be communicated at the time of enrollment. At the end of a trial period, your account will revert to the Free plan unless you purchase a paid plan.

4.4 Promotional Pricing

We may offer promotional discounts from time to time. Promotional pricing is subject to the specific terms of each promotion, including expiration dates and usage limits.

5. Payments and Refunds

5.1 Payment Processing

All payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service (https://stripe.com/legal). We do not store your credit card or bank account information.

5.2 Pricing

All prices are displayed in US Dollars (USD) unless otherwise specified. Prices are inclusive of any applicable taxes unless separately stated at checkout.

5.3 Refunds

ClockinSync offers a 30-day money-back guarantee for eligible purchases of the Lifetime plan.

If, within the first 30 days after purchase, you believe the ClockinSync Extension did not provide meaningful value or help prevent at least one scheduling, timezone, or coordination issue, you may request a full refund by contacting us through our support form or at [email protected] .

We aim to keep the refund process simple. No lengthy forms, unnecessary steps, or extensive justification are required. Refund requests submitted within the applicable 30-day period will generally be approved promptly.

This guarantee applies only to first-time purchases of the Lifetime plan and may be denied in cases of fraud, abuse, chargeback manipulation, repeated refund requests, or other misuse of the Service.

After the 30-day guarantee period expires, purchases are non-refundable except where required by applicable law.

5.4 Plan Changes

We reserve the right to modify plan pricing, features, and limits for future purchases. Existing Lifetime plan purchases will not be retroactively affected by price increases. We may add or remove features from any plan with reasonable notice.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the extension or any part of the Service.
• Attempt to bypass, circumvent, or manipulate feature limits, usage counters, or license enforcement mechanisms.
• Use the Service for any illegal or unauthorized purpose.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Distribute, sublicense, or resell access to the Service or any paid features.
• Create multiple accounts to circumvent free plan limits.
• Automated scraping, data extraction, or bot activity directed at our servers or extension.
• Use the Service to collect, store, or transmit malware or malicious code.

Violation of these terms may result in suspension or termination of your account without refund.

7. Intellectual Property

7.1 Our Property

The Service, including the extension code, website design, logos, icons, and all associated intellectual property, is owned by ClockinSync and protected by applicable copyright and trademark laws. You may not copy, modify, or distribute any part of the Service except as expressly permitted.

7.2 Your Data

You retain ownership of any data you create or store using the Service (timezone configurations, reminders, profiles, etc.). By using the Cloud Sync feature, you grant us a limited license to store and transmit your data solely for the purpose of providing the sync service.

7.3 Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant us a non-exclusive, royalty-free, worldwide license to use, implement, and incorporate such feedback without obligation to you.

8. Third-Party Services

The Service integrates with third-party services:

• Google: For user authentication (Google Sign-In) and optional data storage (Google Drive app data folder). Use of Google services is subject to Google's Terms of Service and Privacy Policy.
• Stripe: For payment processing. Use of Stripe is subject to Stripe's Terms of Service.

We are not responsible for the availability, accuracy, or practices of these third-party services.

9. Content Script and Page Interaction

The ClockinSync extension includes a content script that runs on web pages you visit. This script detects timezone expressions in page text and provides interactive annotations. The content script:

• Reads visible text content to identify timezone patterns.
• Inserts tooltip overlays adjacent to detected timezone text.
• Does not read, modify, or access form inputs, passwords, or sensitive page data.
• Does not transmit any page content to our servers.
• Does not modify the underlying content of web pages.

Some websites may have Content Security Policies or other restrictions that prevent the content script from functioning. The Service is not guaranteed to work on all websites.

10. Availability and Uptime

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. The extension is designed to function with limited capability during server outages using locally cached data.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Timezone data, conversions, or annotations will be accurate in all cases.
• The Service will be compatible with all websites, browsers, or operating systems.
• Reminder notifications will be delivered at the exact scheduled time under all conditions.

Timezone data is provided for informational purposes. You should not rely solely on the Service for time-critical decisions involving travel, meetings, or financial transactions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOCKINSYNC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless ClockinSync and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your use of the Service.

14. Account Suspension and Termination

14.1 By You

You may stop using the Service at any time by uninstalling the extension and, if applicable, requesting account deletion by contacting [email protected].

14.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. We are not obligated to provide refunds upon termination for cause.

14.3 Effect of Termination

Upon termination, your locally stored data remains on your device until you uninstall the extension. Server-side data (account information, sync data, usage logs) will be deleted in accordance with our Privacy Policy.

15. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ClockinSync operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the competent courts of that jurisdiction.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClockinSync regarding the Service and supersede all prior agreements and understandings.
